Importing software into Brazil: taxes, invoice, credit

The invoice arrives, and it does not answer the question the Brazilian tax auditor will ask: which document supports this purchase? Companies that import software into Brazil start with identifying who sells, what was contracted and which evidence each obligation requires. A local invoice moves the trail of proof. On its own, it creates no tax credit.
For the international ISV (Independent Software Vendor, a software company that sells its product to other companies), understanding this check is how a supplier anticipates what the Brazilian buyer will request. For PIS/COFINS in the period before the 2027 extinction, Lei 10.865/2004 provides for credit on eligible imports, subject to conditions of regime, payment and use. That forecloses the easy conclusion: the absence of a Brazilian nota fiscal issued by the foreign supplier does not, by itself, eliminate every possible credit.
Which documents should procurement assemble before the purchase?
The check starts with the contract and with the identification of who receives the payment, not with the currency of the charge. The buyer gathers the description of the object, the invoice or proposal, the issuer's details, the municipality and its tax regime. Without those elements, the classification and the required document stay open.
The accepted proposal may form the contract or become part of it, under the Civil Code, Lei 10.406/2002, Articles 107, 427, 432 and 434. Procurement has to read the terms incorporated into it, find the description of the access, the license or the consumption, and identify who took on the supply, without presuming a separate instrument exists. Finance adds the payment receipts on hand. The tax team checks the records and the amounts paid against the operation as described.
The working sequence runs in six steps:
- Classify the object and the AI credits from the contract.
- Identify the counterparty, the party billing and the issuer of the document.
- Examine the taxes and the event that applies to the direct purchase.
- Compare the resale route and the document issued in reais.
- Test the tax credit and assemble the matching evidence.
- Check the tax transition and the period the operation falls in.
The output is not a ready tax rate. It is a matrix with an owner and an open item for every decision taken before payment authorization.
Step 1: how do you import software and classify AI credits?
To import software, the company has to set the name of the offer against the right acquired and the performance agreed in the contract. Depending on the conditions of the offer, imported AI credits may represent a prepaid consumption balance; their tax nature depends on the rights and the execution contracted, and the name does not mean tax credit.
The line between a license, SaaS access and a service runs through the rights and the execution. The contract should state what the buyer receives, how it uses the service, who provides it and whether there are license clauses or additional services. A balance that falls with usage is relevant commercial information. Alone, it does not settle the tax classification of the purchase or of each consumption. The tax team needs that description before it attaches a tax to the entry.
SaaS is software accessed as a service. In SC Cosit 191/2017, the Receita Federal classified the case under review as a technical service for IRRF and CIDE. That reading does not resolve another contract on its own. The analysis of taxes on SaaS remittances complements the commercial read; the tax team validates the classification of the operation against the contract.
A product name never replaces that examination. If the proposal says only "AI credits", procurement asks the supplier for the conditions of use and for a description of what will be delivered before approving the expense.
Step 2: who sells, who bills and who issues the document?
The contractual counterparty decides which route the buyer has to examine: direct provision by a foreign supplier, or purchase from a Brazilian reseller that actually sells or provides the operation. A company that only intermediates the billing does not become a reseller by doing so. Contract, invoice and issuer identification should point to the same operation.
In a direct engagement of a foreign provider with no local issuing establishment, the invoice is the foreign commercial charge. Converting the amounts to reais does not turn it into a Brazilian sales invoice issued by that provider. As a commercial charge, the invoice helps reconcile object, issuer and payment, and it does not resolve Brazilian tax obligations by itself.
Nor does it mean the buyer will have no Brazilian record at all. Depending on the operation, the municipality and the rules in force, the service taker may have to issue a document or declaration of its own. In São Paulo, the municipal NFTS manual describes the Nota Fiscal Eletrônica do Tomador/Intermediário de Serviços and provides fields for a provider located abroad. Whether it applies has to be checked for the concrete case.
NFS-e is the electronic service invoice. NF-e is a different document type. NFTS is not a synonym for either. Before accepting the charge, the buyer checks who the provider is, who issues each document and whether a service taker record has to be filed.
Step 3: how is imported software taxed?
Imported software is not taxed from a single list that fits every purchase. On the direct route, the tax team examines IOF, PIS/COFINS-Importação, ISS, IRRF and CIDE, each on its own event and its own conditions. The contract defines the object; payment and provision help locate the events that matter.
IOF-câmbio. The tax on financial transactions (IOF) tied to foreign exchange is not a tax on software. If the payment arrangement involves an exchange transaction covered by Decreto 6.306/2007, the taxable event of IOF happens when that transaction settles, per Article 11. The modality and the period set the rate and who bears the charge. An invoice does not prove settlement.
PIS/COFINS-Importação. The contributions to PIS/Pasep and to the Financing of Social Security (COFINS) on imports follow Lei 10.865/2004 in the period before the 2027 extinction. The service hypothesis covers provision performed in Brazil or performed abroad with the result in the country. For a covered service, Lei 10.865/2004 lists payment, credit, delivery, employment or remittance of funds abroad as consideration. The headnote of SC Cosit 107/2023 confirms the administrative reading that PIS/COFINS-Importação applies to the licensing of software acquired by an end user. The taxable event should not be reduced to the remittance, and it should not be presumed that every AI balance qualifies as an imported service.
ISS. The municipal service tax depends on the provision and on the competent municipality. LC 116/2003 lists the licensing or assignment of the right to use programs and provides for the liability of the service taker or intermediary on services originating abroad. The tax team identifies the provision, the municipality, the local law and the amount to be paid. Payment abroad is not the universal ISS taxable event.
IRRF and CIDE. Withholding income tax and the CIDE intervention contribution require a separate examination of the nature of the income and of the contract. For IRRF, the check is whether a treaty in force with the beneficiary's country of residence exists and whether it reaches that income, without presuming the benefit. The National Tax Code (CTN), Lei 5.172/1966, Article 98 governs how treaties relate to domestic tax legislation.
Lei 10.168/2000 separates a software license without transfer of the corresponding technology from technical services. The headnote of SC Cosit 191/2017 treats the SaaS under review as a technical service for IRRF and CIDE, without extending that conclusion to any AI credit. IN RFB 1.455/2014, Article 17, and Lei 10.168/2000, Article 2, paragraph 3, cover payment, credit, delivery, employment or remittance in their respective hypotheses.
The calculation of a software import shows why the chain has to be mapped. For this check, though, no percentage from another case replaces the analysis of the operation in front of you.
Step 4: what changes with a reseller and a document in reais?
When the Brazilian reseller is the effective counterparty, the buyer is examining a domestic acquisition and the fiscal document that fits it. The counterparty and the charge both change. It does not mean the entire tax burden has disappeared, and it does not mean the buyer simply repeats a direct-import calculation.
| Check | Direct foreign provider, no local issuing establishment | Brazilian reseller as the effective counterparty |
|---|---|---|
| Party and object | The buyer identifies the foreign provider and the contracted object. | The buyer confirms the reseller sells or provides the operation, rather than only intermediating it. |
| Document | Provider's invoice, plus any document or filing the service taker owes, per municipality and operation. | Domestic fiscal document appropriate to the object and to the applicable rule; the currency does not define its type. |
| Payment | Check the beneficiary, the modality and any exchange transaction. | Check the charge in reais, the issuer and the link to the contract. |
| Taxes | The tax team examines each hypothesis applicable to the buyer and its event. | The tax team examines the domestic acquisition, without presuming it is a direct import by the buyer. |
| Credit evidence | Contract, invoice, use and bookkeeping; for PIS/COFINS-Importação credit in the regime before the extinction, receipts of the contributions effectively paid. | Contract, appropriate fiscal document, use and bookkeeping, subject to the legal requirements. |
A local invoice is one piece of the evidence, not the right to the credit itself.
To check whether the operation is a service and which document applies, the buyer asks for the issuer identification and the tax description of the operation before signing. The issuance of invoices for subscriptions covers the documentary routine; the buyer's check stays tied to the concrete contract.
Step 5: when is there a tax credit, and what proves it?
For PIS/COFINS credits under the regime that precedes the extinction of these contributions in 2027, imports follow Lei 10.865/2004, and domestic purchases follow Lei 10.637/2002 and Lei 10.833/2003. A software tax credit depends on the hypothesis and on the rules of the period. PIS/COFINS balances and IBS/CBS credits answer to their own rules.
On a direct import in the period before the PIS/COFINS extinction, Article 15 of Lei 10.865/2004 covers legal entities subject to non-cumulativity in the hypotheses listed there. Services used as inputs in the provision of services and in the production or manufacture of goods for sale are among them. Article 15, paragraph 1, requires contributions effectively paid on the import. The tax team relates contract, use, payment of the contributions and bookkeeping before it records the PIS/COFINS credit.
On a domestic purchase in the period before the PIS/COFINS extinction, Article 3 of Lei 10.637/2002 and of Lei 10.833/2003 covers inputs in the activities listed there. For that hypothesis, the buyer checks the acquisition from a legal entity domiciled in the country, the use, the regime applicable to the revenue, the document and the bookkeeping. A valid invoice is evidence of the domestic acquisition; it does not replace the examination of the revenue regime, the use and the bookkeeping for the PIS/COFINS credit.
Taxable income under the real profit method (Lucro Real) does not secure a credit. Revenue under the ordinary cumulative PIS/COFINS regime carries no presumption of input credit. Nothing in the invoice changes that. If the documentation does not demonstrate the use or the payment required, the conclusion stays pending until the tax team assembles the evidence.
Step 6: how do you check the IBS and CBS transition?
2026 already sits inside the transition phase of the Tax on Goods and Services (IBS) and the Contribution on Goods and Services (CBS). The waiver of payment depends on compliance with ancillary obligations. The PIS/COFINS extinction in 2027 is a separate milestone: balances of those contributions and credits on new operations need separate analyses.
LC 214/2025, Articles 343, 346 and 348 sets the 2026 phase and waives IBS/CBS payment for taxpayers that meet the ancillary obligations in the legislation. That waiver does not eliminate PIS/COFINS. Article 348, paragraph 2, keeps full payment of those contributions for anyone waived from the IBS/CBS payment.
In the transition to IBS, Article 508 of LC 214/2025 introduces Article 8-B into LC 116/2003, which cuts ISS rates from 2029 to 2032. Article 543, IV, of LC 214/2025 provides for the ISS extinction in 2033, with the revocation of LC 116/2003.
From January 1, 2027, the PIS/COFINS extinction and the treatment of the balances of those contributions follow Articles 378 and 542 of LC 214/2025. Article 378 preserves balances under conditions of bookkeeping, deadline and use; it does not prove the right to credit on a new acquisition. For IBS/CBS credits under the regular regime, Article 47 requires an examination of the extinction of the operation's debits, of proper documentation and of the legal exclusions. IBS and CBS are appropriated separately, with no cross-compensation between them. A transition rule written for CBS does not automatically prove equivalent treatment for IBS.
The Receita Federal's guidance on PIS/COFINS and CBS balances addresses the requirements of the 2027 transition. It does not certify any single company's balance. The buyer keeps the documents supporting the earlier balance separate from the documents of the acquisition analyzed in the new period.
The date of the operation matters. A change in the rule, in the electronic documentation or in the contract justifies a fresh check before the next closing. The reading on NFS-e and foreign trade helps locate the documentary question, and it does not replace consulting the rule in force for that period and that municipality.
How should the buyer validate the result before paying?
Validation ends when procurement, tax and finance can point to the same counterparty, the same object and the corresponding receipts. Procurement confirms the contract; tax records the classification and the open items; finance reconciles the charge and the payment. If one link does not close, approval waits for the missing evidence.
Procurement checks the identity of the parties in the accepted proposal and in the terms that form the contract, and asks for written clarification when the description of the object is insufficient. That step matters most with AI credits: the size of the balance, on its own, does not explain which right or service was acquired.
Tax identifies the municipality, the operation and the events of each applicable tax. It then identifies who owns the service taker document required for the service contracted, according to the operation and the municipal rule, and assembles the evidence for the credit. Finance verifies the beneficiary, the currency, the exchange transaction where there is one, and whether the receipts match the charge.
The check needs an owner. A classification item left open should not turn into a booked credit just because the invoice from the direct engagement has been paid, and an obligation should not drop off the spreadsheet because the supplier issued no Brazilian invoice.
Which errors should stop the check?
Five errors justify sending the documentation back: classifying AI by its name, confusing intermediation with resale, presuming the card payment settles the taxes, treating an invoice as a credit, and copying another municipality's rule. Each one has a verifiable correction: obtain the contract, the receipt or the relevant local rule before going further.
Calling an AI balance a "service" without reading the conditions does not clarify what was contracted. The fix is to ask for the description of the right and of the execution. Calling an intermediary a reseller is not enough either: the contract has to identify who effectively sells or provides the operation to the buyer.
A card charge does not prove, by itself, that every tax due was paid. Finance keeps the receipts for the modality used; tax checks the payments required by the exchange transaction, the provision and the nature of the income, in the hypothesis of each tax. That check covers IOF-câmbio, PIS/COFINS-Importação, ISS, IRRF and CIDE, with the period and the legal events identified in Step 3 and the transition from Step 6. A document and a tax are not interchangeable.
Finally, a local invoice does not guarantee a credit, and a municipal rule does not automatically hold in the next municipality. The next step is to examine the regime, the use and the competent legislation, not to copy the entry from another purchase.
Frequently asked questions
The answers depend on the route contracted and on the evidence available. In a direct purchase, the company examines the foreign provision and its events; in an effective resale, it examines the domestic acquisition. In both, the tax team confirms object, municipality, regime and documents before concluding on incidence or credit.
Which taxes apply to a direct engagement?
On a direct engagement for imported software, the buyer examines IOF-câmbio on the exchange transaction; PIS/COFINS-Importação and ISS on the provision as classified; IRRF and CIDE on the contract and the income. No set of taxes applies automatically at once. The tax team identifies the legal events, the beneficiary's residence and the municipality, observing the period and the IBS/CBS transition.
Which document proves the purchase of imported software?
In a direct engagement of a foreign provider with no local issuing establishment, the invoice documents the commercial charge, but it is not a Brazilian sales invoice issued by the provider. Depending on the municipality and the operation, the buyer may need a service taker record or document. Contract and receipts complete the trail of proof.
When can there be a tax credit, and what is the evidence?
For PIS/COFINS under the regime before the 2027 extinction, the credit depends on the legal hypothesis, the regime, the use and the bookkeeping. On a direct import, Article 15 of Lei 10.865/2004 requires contributions effectively paid. On a domestic acquisition, the check is the acquisition from a legal entity domiciled in the country; the appropriate invoice does not guarantee the credit. Balances and IBS/CBS follow their own rules.
What changes when a Brazilian reseller is the counterparty?
If the Brazilian reseller effectively sells or provides the operation, the buyer is examining a domestic acquisition and receives the fiscal document applicable to that operation. The contract has to confirm that position. A charge in reais, or the presence of an intermediary, does not prove resale and does not define the type of the invoice.
Does the name of an AI credit define its tax treatment?
No. Depending on the conditions of the offer, AI credits may mean a prepaid consumption balance; their tax nature depends on the rights and the execution contracted. The buyer should request a description of the right, of the conditions of use and of the provision actually made. With those elements, the tax team assesses the legal hypotheses and the documents the operation requires.
References and Further Reading
The federal references point to Câmara texts and Receita Federal pages, and do not attest a further check at the Planalto or in the DOU. The scope ends there. To apply the provisions to a purchase, the tax team has to confront the period, the facts of the contract and the conditions of incidence, documentation or credit the sources describe.
- Lei 10.865/2004, contributions on imports and credit hypotheses.
- Decreto 6.306/2007, the IOF regulation and LC 116/2003, ISS.
- Lei 10.637/2002, PIS and Lei 10.833/2003, COFINS.
For contractual classification and the transition, Lei 10.168/2000, CIDE, SC Cosit 191/2017 and LC 214/2025, IBS and CBS also belong here.
When should the analysis be redone?
The matrix has to be reopened when the contract, the issuer, the municipality, the regime applicable to the revenue or the period of validity changes. A change of supplier or of billing modality also requires checking whether the counterparty and the object stayed the same. The earlier analysis does not replace that check.
For the international supplier, making the object and the counterparty clear reduces documentary uncertainty for the buyer before signature. Nexforce Marketplace offers international software and AI solutions with billing in local currency, a fiscal invoice and centralized management. The type of document depends on the object and on the issuance rules of the competent municipality or system. The buyer's credit requires a legal hypothesis, a regime, use, proof and bookkeeping in the period the purchase falls in.
When comparing SaaS distribution channels, procurement reopens the matrix every time the contract or the charge changes, until counterparty, document and required evidence are confirmed. Approval waits for the missing evidence.
